Capgemini reduces share capital to 169,928,671 shares

Capgemini reported a reduction in Capgemini Secure Element (SE)’s share capital and said the change related to employee share participation and shareholder returns.

The company’s communication described the capital reduction as an example of associating employees with the group’s development and performance while reducing the number of shares outstanding.

The press release said the number of shares fell by 1,418,800, representing a 0.8% decrease versus December 31, 2024, leaving 169,928,671 shares in the share capital.

Capgemini attributed the net decline to two transactions: a 2,700,000-share capital increase linked to its 12th employee share ownership plan and the cancellation of 4,118,800 treasury shares that had been acquired to neutralize the dilutive effect of that ESOP and as part of a multi-year share buyback program.
