Orange Belgium establishes Management Services Agreement with Orange SA
Orange Belgium established a Management Services Agreement with Orange standalone (SA) on July 23, 2025, following the expiration of its previous Strategic Partnership Agreement (SPA) at the end of 2024.
The former SPA involved a fixed management fee of EUR 5 million for access to sourcing programs, know-how, and roaming services. Under the new Management Services Agreement effective 2025, management fees will be calculated based on a ratio of costs incurred by Orange SA multiplied by Orange Belgium's annual turnover, with a Corrective Action Plan (CAP) of EUR 15.4 million per year for three years.
A committee of independent directors, along with an independent expert, assessed this new management fee structure. The committee concluded that the arrangement could be considered at arm's length, affirming that it does not present disadvantages per Article 7:97 of the Belgian Code of Companies and Associations.
Furthermore, the company’s auditor reviewed the proposed structure as stipulated by Article 7:97 §4 and did not identify any discrepancies in the financial data provided by the Independent Directors Committee.
The Board of Directors of Orange Belgium approved the new Management Services Agreement, marking a transition to a more management service-driven relationship with Orange SA.
