Open Text Corporation priced the terms and reported results for its previously announced cash tender offer to repurchase up to $300,000,000 of its 3.875% Senior Notes due 2028. The pricing set the per-bond consideration and the acceptance approach for holders of the notes tendered by the expiration cutoff.
As of the Expiration Date, the company reported valid tenders received for the Bonds that were not validly withdrawn, based on information provided by Global Bondholder Services Corporation, which served as tender and information agent. The offer applied to the specified Bonds and was structured around a maximum tender amount and acceptance subject to proration.
For each $1,000 principal amount of Bonds validly tendered and accepted, the Tender Offer Consideration was determined using a fixed spread over the yield to maturity tied to the bid side price of a specified reference U.S. Treasury Security, as set in the Offer to Purchase. The reference yield was determined at 3:00 p.m. New York City time on Sept. 30, 2026 by the dealer managers.
The settlement date for Bonds validly tendered on or prior to Sept. 30, 2026 was expected to be Oct. 2, 2026, with payments including accrued and unpaid interest up to but not including the settlement date. The company said it would accept up to the Aggregate Maximum Tender Amount of validly tendered Bonds and applied a proration factor of 43.047752%, with purchases adjusted downward to the nearest $1,000 principal amount. Open Text said it retained RBC Capital Markets, LLC and Citigroup Global Markets Inc. as dealer managers and Global Bondholder Services Corporation as the tender and information agent. It also said it expected to close a concurrent senior secured notes offering on Oct. 1, 2026 and use net proceeds, along with cash on hand, to fund redemption of its 6.900% Senior Secured Notes due 2027 and consideration for any Bonds accepted in the tender offer, with both expected to settle on Oct. 2, 2026.
