Orange Belgium establishes Management Services Agreement with Orange SA

Orange Belgium has finalized a Management Services Agreement with Orange Standalone (SA), effective July 23, 2025, following the conclusion of its previous Strategic Partnership Agreement at the end of 2024. This adjustment is relevant for enterprise IT leaders and stakeholders assessing provider relationships.

Agreement Structure

Under the prior Strategic Partnership Agreement, Orange Belgium paid a fixed management fee of EUR 5 million for access to various services. Contrarily, the new agreement introduces a flexible fee structure based on costs incurred by Orange SA multiplied by Orange Belgium's annual turnover, capped at EUR 15.4 million annually for three years.

Independent Review

A committee comprising independent directors and an expert evaluated the new fee structure, concluding it meets arm's length criteria. This assessment enhances the understanding of compliance with Article 7:97 of the Belgian Code of Companies and Associations, indicating that the arrangement does not impose disadvantages.

Additionally, an audit of the proposed structure, as authorized under Article 7:97 ยง4, confirmed no discrepancies were found in the financial data provided by the independent directors.
